Terms & Conditions — Cyrus Studio

These terms ("Terms") are an agreement between you ("Customer") and
Cyrus Studio, operated by Nadar Shirazi (commonly known as Dominic Shirazi), based in Portland, Oregon
("we", "us"). By paying the first-month charge or replying "yes" to a
service offer via SMS, you agree to these Terms.
1. What you're paying for
- Month 1: $150 flat. One charge that covers all of:
- Initial website design + copywriting + photo selection / retouching
- First deployment to a custom domain
- Domain registration in your name on a standard TLD (.com, .dev, or
similar) covered up to $25/year. If you want a premium domain
(an auctioned name like
mrtaco.com that sells for thousands, or a
specialty TLD priced above $25/year), the excess cost is your
responsibility and we will quote it before any purchase is made.
- First 30 days of hosting + content service
- Month 2 onward: $100/month recurring. Auto-bills 30 days after the
Month 1 charge. Covers:
- Hosting on Cloudflare (no separate bill)
- Custom domain renewal (annualized into the monthly fee)
- Unlimited on-demand text and photo updates to your site
- Up to 2 social media posts per week across your connected
Facebook / Instagram / Google Business Profile pages
- Reasonable comment and review responses on those same platforms
- One quarterly design refresh if you want one
Referral discount. Every active business you refer who becomes a paying
customer earns you a permanent $25/month off your subscription,
stackable up to 3 referrals ($75 off, $25/month subscription). If a
referred business cancels and you've been with us for 12+ months, your
discount stays as a loyalty rate.
Anything outside the scope above (e.g. e-commerce checkout, multi-page
menu management, large photo shoots, paid ads) is quoted separately
before any work is done.
2. Communication and SMS consent
By replying to any SMS we send, you consent to receive ongoing
text messages from us about your website, social posts, and account
status. Reply STOP at any time to opt out — we honor STOP
immediately, no questions asked, and add the number to our internal
do-not-contact list per the federal TCPA.
We do not share your phone number with third parties. Standard message
and data rates from your carrier may apply.
3. Cancellation, refunds, and what happens to your site
On the first $150 charge (month 1): the design work, domain registration,
and deploy are completed BEFORE you pay — that's the draft we showed you in
the pitch. By the time you pay the $150, you've seen and approved a working
draft of your site, the domain is being registered in your name, and the
first month of hosting is already running. Because the work is already
done, the $150 is non-refundable as a baseline rule.
Two exceptions that get you a full $150 refund:
- Defect at deploy — if within 7 days of payment the live deployed site
has a problem that we cannot fix (broken layout, missing photos, wrong
business info we won't correct, domain registration failure, etc.) we
refund the full $150 and release the domain to you.
- You change your mind in the first 24 hours — if you tell us within 24
hours of payment that you no longer want the service, we refund the
$150 minus the actual domain registration cost ($10-15, depending on
TLD) which we've already paid the registrar.
On the monthly $100 service (month 2 onward):
- You may cancel at any time by replying CANCEL via SMS, emailing
Dominic.Shirazi@gmail.com, or asking in any way that's clearly a cancellation.
We do not require a written form.
- Cancellation takes effect at the end of the current monthly billing
cycle — you keep service through the period you've already paid for,
then no further charges are made.
- We do not pro-rate refunds for unused days within a paid month, but we
will pro-rate if the service was actually broken (down, blank, or
inaccessible) for any portion of the month — just tell us.
After any cancellation:
- We hand you the transfer authorization code for your domain so you
can move it to any other registrar at no charge.
- We provide a one-time export of your site's HTML, photos, and
content as a zip file at no extra charge.
- We will keep your site live for 30 days after cancellation so you
have time to migrate. After that, the Cloudflare project is archived
but recoverable for another 90 days on request.
4. Content ownership
- Your content is yours. Photos you provide, menu items, business
descriptions, and any text you write all remain your property.
- Your domain is yours. It is registered in your business's name (or
yours personally, if you don't have an LLC). We are listed as the
technical contact only.
- The website design is licensed to you for as long as you remain a
paying customer. If you cancel, you keep the right to use the design
and content for your own purposes (we don't pull the site out from
under you), but you may not resell or relicense the design to anyone
else.
5. Things we cannot do for you
- We do not handle PCI-compliant credit card processing on your site.
If you want online ordering, we will integrate Square, Toast, Stripe,
DoorDash, Grubhub, etc. as third-party widgets — those are governed by
their own terms.
- We do not run paid advertising campaigns (Facebook Ads, Google Ads)
unless we have agreed to a separate ads-management plan in writing.
- We do not guarantee specific search-ranking outcomes. We do basic on-
page SEO (titles, meta descriptions, Schema.org tags, mobile speed),
but Google rankings depend on factors outside our control.
- We do not provide legal, tax, accounting, or food-safety advice.
Anything we say about those topics is conversational, not professional
advice.
6. Reasonable use
- We may pause service if a customer asks for content that is illegal,
violates a platform's Terms of Service, infringes someone else's
copyright or trademark, or is harmful, threatening, or harassing.
- We may pause service if a customer asks for more than 20 substantive
revisions in a single month (most customers ask for fewer than 5 —
we just don't want to be locked into a content-mill loop).
- We may pause service if a payment fails for more than 14 days and
we have been unable to reach you to update the payment method.
7. Disclaimers and liability cap
The site and services are provided "as is." We make no warranties of
merchantability or fitness for a particular purpose. To the maximum
extent permitted by Oregon law, our total liability for any claim
related to the services is capped at the total amount you have paid us
in the 6 months preceding the claim.
This cap does not apply to fraud, willful misconduct, or where
applicable law forbids the limitation.
8. Changes to these terms
We may update these Terms from time to time. If we make a material
change, we will notify you via SMS at least 14 days before the
change takes effect. Continued use of the service after that notice
means you accept the new Terms.
9. Disputes
These Terms are governed by the laws of the State of Oregon, without
regard to conflict-of-law rules. Any dispute that cannot be resolved
informally will be brought in the state or federal courts located in
Washington County, Oregon, and both parties consent to that
jurisdiction.
